By-Laws of the Dudgeon-Monroe Neighborhood Association
Article I - Name
- The organization will be known as the Dudgeon-Monroe
Neighborhood Association.
Article II - Purpose
- Sec. 1. The primary purpose of the organization is to improve
the neighborhood through democratic citizen participation and
involvement.
- Sec. 2. The organization will work for the achievement of this
purpose by generating and sustaining a spirit of neighborhood
among area residents through all appropriate means including,
but not limited to:
- 2.1. Foreseeing and calling attention to emerging
neighborhood trends and problems prior to their
reaching crisis proportions.
- 2.2. Fostering neighborhood interest and participation
in planning.
- 2.3. Providing means for widespread study and
discussion of all issues and questions pertinent to the
neighborhood.
- 2.4. Educating citizens, both members and non-members
of the organization, in the processes, problems and
potential of the neighborhood's development.
- 2.5. Serving as spokesman for those policies and
programs that seem to its membership, after
appropriate analysis and discussion, to be in the
neighborhood's best interest.
Article III. Geographical Area
- The area to be served by the Association is bounded by Monroe
Street, Odana Road and the Southwest Bicycle-Pedestrian Path
but including the area South of Monroe Street bounded by
Woodrow Street and Arbor Drive as shown on the attached map.
Article IV. Membership
- Sec. 1. All persons age eighteen (18) and over who live in,
are homeowners, or who are owners or managers of businesses in
the above general area are eligible for membership in the
organization.
- Sec. 2. Any member having paid annual membership dues shall be
considered a member in good standing. Annual dues for each
household or business shall be set by the Neighborhood Council.
- Sec. 3. Voting at all meetings shall be limited to those
members who have paid their dues.
- Sec. 4. Any member in good standing except for elected public
officials may, with his/her consent, be nominated or appointed as
an official of the organization.
Article V. Officers
- The officials of the organization should be selected, whether
elected or appointed, with regard to representing the
differing ages, interests, and areas in the neighborhood.
- Sec. 1. The elected officers of the organization, elected at
the annual meeting, shall be:
- 1.1. The President who will direct association
activities, chair meetings of the Neighborhood Council
and Executive Committee, and perform other duties as
required.
- 1.2. The Vice President who will assume the duties of
the President at the request of the President, or
during the absence of the President, and perform other
duties as requested by the President.
- 1.3. The Secretary who will prepare the minutes of the
organization=s meetings, and maintain all records and
files as they pertain to the organization.
- 1.4. The Treasurer who will administer all monies of
the organization. The Council will authorize all major
expenditures, and annually set an amount which may be
expended by the Treasurer without such authorization.
- Sec. 2. The Neighborhood Council shall consist of elected
officers, standing committee chairs and not more than twenty
five at-large members appointed by the President. The Council
shall function as the organizing and policy-making body of the
Association, The Council shall direct the organization, and
its duties shall include, but not be limited to:
- 2.1. Carrying out the policies established by the
general membership.
- 2.2. Establishing general policy and acting during the
intervals between meetings of the general membership.
- 2.3. Appointing special committees and the chairs
thereof to work on matters duly designated for
consideration of the organization.
- 2.4. Determining what matters the organization should consider.
- 2.5. Establishing procedures for the wise
administration of the organization, including but not
limited to the adoption of a working budget,
suggestions of the nomination of officers, and
appointment of Council members at large.
- Sec. 3. The Executive Committee shall consist of the elected
officers. The Executive Committee shall make emergency
decisions and expenditures between meetings of the
Neighborhood Council.
- Sec. 4. The terms of office for the officers and Council
members at large shall be for one year and coincident with the
annual meeting, except that officials of the organization
shall remain in office until their successors have been duly
elected or appointed.
- Sec. 5. There shall be a Nominating Committee consisting of
three (3) persons appointed by the Neighborhood Council. The
Nominating Committee shall present a single slate of nominees
for all elective officials at the Annual Meeting. Further
nominations may be made from the floor.
Article VI. Meetings
- Sec. 1. General Membership Meetings
- 1.1. There shall be at least one (1) annual meeting of
the general membership, to be held at a place and time
designated by the Neighborhood Council.
- 1.2. Additional meetings may be called by the
Neighborhood Council or the Executive Committee as
necessary, or by petition of twenty (20) members.
- 1.3. Notice of all meetings of the general membership
including proposed amendments to the By-Laws shall be
given to all members at least one (1) week prior to
meetings.
- Sec. 2. Neighborhood Council Meetings:
- 2.1. Regular meetings of the Neighborhood Council
shall be held at a place and hour designated by the
President.
- 2.2. Special meetings of the Neighborhood Council may
be called by the President or any three (3) members of
the Council, providing all Council members are
notified at least twenty-four (24) hours in advance.
Article VII. Procedures
- Sec. 1. Any member of the organization in good standing may
attend any Council or Committee meeting and take part in its
discussion.
- Sec. 2. All meetings of the organization shall be conducted in
accordance with Robert's Rule of Order, except as specified in
the by-laws.
- Sec. 3. At all Council meetings, one third of the members, but
not less than six shall constitute a quorum.
- Sec. 4. Officers shall be elected by a simple majority of
members present and voting at the annual meeting of the
general membership. If there are more than two nominees for an
office, there shall be a preliminary ballot; the two
candidates receiving the most votes will become nominees for
the final ballot. All other actions taken at the annual
general membership meeting require a simple majority of
members present and voting. Those actions which fail to
receive an affirmative vote of at least six (6) percent of all
eligible Association members may be appealed by petition to
the entire membership. Anyone intending to make an appeal must
notify the President within twenty-four (24) hours of the
general membership meeting at which the appealed action was
taken. The appealed action shall become void if a petition
containing the signatures of ten (10) percent of the eligible
members is filed with the President within one week of the
general membership meeting.
- Sec. 5. In the event an officer of the Association should
resign, the Neighborhood Council shall appoint a replacement
who shall serve out the term of office. Three consecutive
absences without valid reason from Council or Committee
meetings may be deemed a resignation. The President may
appoint members at large to replace those who have resigned or
have been deemed to have resigned.
- Sec. 6. Proposed amendment to the By-Laws of the organization
shall only be acted on at meetings of the general membership.
Article VIII. Public Action on Behalf of the Organization
- No individual or Committee shall take public action nor shall
any member represent himself as speaking in the name of the
organization unless so authorized by the Neighborhood Council
or the Executive Committee.
Article IX. Endorsement Prohibited
- The organization shall not support any candidates for public office.
